These Terms & Conditions govern your use of the ELEMNT platform, website and services. By accessing or using ELEMNT, you agree to these Terms.

If you do not agree with these Terms, please do not use the platform.

1. About ELEMNT

ELEMNT is a roofing-focused software platform designed to assist contractors and businesses with:

• aerial takeoffs
• estimating
• quoting
• project workflows
• job management
• communication
• related operational tools

ELEMNT is intended to support roofing businesses and related trades. The platform is provided as a software assistance tool only.

2. User Responsibilities

You are responsible for:

• ensuring all measurements, quantities and site conditions are verified independently
• checking all project details before ordering materials or commencing work
• ensuring compliance with Australian laws, standards and building requirements
• maintaining the confidentiality of your account credentials
• ensuring information entered into the platform is accurate

ELEMNT does not replace onsite inspections, engineering advice, building certification or professional judgement.

3. Aerial Measurements & Estimating

ELEMNT may use aerial imagery, map data and scaling tools to assist with estimating and takeoffs.

You acknowledge that:

• aerial imagery accuracy may vary
• scaling accuracy depends on user calibration and available imagery
• measurements generated through the platform are estimates only
• site verification is still required prior to final quoting, ordering or installation

ELEMNT is not liable for:

• measurement discrepancies
• material shortages or overages
• installation errors
• quoting inaccuracies
• losses resulting from reliance on aerial measurements alone

4. Accounts & Access

You must:

• provide accurate registration details
• keep login information secure
• notify us if you believe your account has been compromised

You are responsible for all activity occurring under your account.

We reserve the right to suspend or terminate accounts that:

• misuse the platform
• breach these Terms
• attempt unauthorised access
• interfere with platform operation
• engage in abusive or unlawful conduct

5. Subscription & Billing

Some ELEMNT features may require a paid subscription.

By subscribing, you agree:

• to pay all applicable fees
• that subscriptions may renew automatically unless cancelled
• that pricing may change with notice provided before renewal periods

Unless otherwise stated:

• subscription fees are non-refundable
• cancellations stop future renewals only
• access may remain active until the current billing cycle ends

Free trials, founder access or promotional offers may be modified or withdrawn at our discretion.

6. User Data & Uploaded Content

You retain ownership of:

• uploaded plans
• photos
• project files
• quotes
• customer information
• other business data entered into ELEMNT

You grant ELEMNT a limited licence to:

• store
• process
• display
• backup
• transmit

that data solely for the operation and improvement of the platform.

You must not upload:

• unlawful content
• malicious software
• copyrighted material without permission
• offensive or abusive material

7. Availability & Service Interruptions

While we aim to provide reliable access, ELEMNT does not guarantee uninterrupted availability.

The platform may experience:

• maintenance downtime
• server interruptions
• integration outages
• third-party service failures
• unexpected technical issues

Features may change, improve or be removed over time.

8. Third-Party Services

ELEMNT may integrate with third-party providers including:

• mapping services
• payment providers
• cloud storage providers
• accounting platforms
• communication tools

Use of third-party services may also be subject to their own terms and policies.

We are not responsible for third-party outages, policies or data handling practices.

9. Intellectual Property

All ELEMNT branding, software, design, workflows and platform content are owned by ELEMNT unless otherwise stated.

You may not:

• copy
• resell
• reverse engineer
• redistribute
• reproduce

any part of the platform without written permission.

10. Limitation of Liability

To the maximum extent permitted by law, ELEMNT is not liable for:

• indirect loss
• loss of profits
• business interruption
• data loss
• project delays
• estimation inaccuracies
• material ordering mistakes
• loss arising from reliance on the platform

Our total liability is limited to the amount paid by you to ELEMNT within the previous 12 months.

11. Indemnity

You agree to indemnify and hold harmless ELEMNT, its directors, staff and affiliates against claims arising from:

• your use of the platform
• your breach of these Terms
• misuse of data
• unlawful conduct
• disputes with customers or suppliers

12. Privacy

Your use of ELEMNT is also governed by our Privacy Policy.

13. Changes To These Terms

We may update these Terms from time to time.

Updated versions will be published on the website and continued use of ELEMNT constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Any disputes are subject to the jurisdiction of Australian courts.
